This license explicitly permits ESTQ to: store, analyze, modify, and aggregate data; publish anonymized statistics; create reports and develop benchmarks; train artificial intelligence systems and machine learning models; develop products and services; and use data for marketing, research, and general business operations. Contractor acknowledges that data submitted to ESTQ may be combined with information received from other contractors. ESTQ retains sole and absolute discretion regarding Lead distribution.

8. Non-Exclusive Relationship

This Agreement is strictly non-exclusive. Contractor acknowledges and agrees that:

  • ESTQ may work with multiple contractors within the same trade category.
  • ESTQ may partner with competing contractors in the same city, county, ZIP code, or market.
  • No exclusive territory, market protection, or exclusive lead rights are granted or implied.

9. No Minimum Lead Commitment

ESTQ makes no guarantees, promises, or structural representations regarding the number of leads, quality of leads, accuracy of lead information, conversion rates, sales, revenue, or profitability. ESTQ may provide zero (0) leads during any given period.

10. Disclaimer Regarding Leads

"AS-IS" PROVISION: ALL LEADS ARE PROVIDED TO CONTRACTOR ON AN "AS IS" AND "AS AVAILABLE" BASIS.

ESTQ is entirely independent of the consumer's actions and is not responsible for: lead quality; customer intent or decisions; customer payments; conversion rates; lost sales; lost profits; or overall business opportunities.

11. Independent Contractor Relationship

Nothing in this Agreement creates a partnership, joint venture, agency, employment relationship, franchise, or business opportunity relationship. Contractor operates an entirely independent business and remains solely responsible for all licensing, insurance, taxes, permits, employees, pricing, customer contracts, and regulatory compliance.

12. No Franchise or Business Opportunity Laws

The Parties expressly acknowledge that this Agreement does not constitute a franchise, business opportunity, dealership, distributorship, marketing plan, seller-assisted marketing plan, or territory grant under any jurisdiction's laws. Contractor is not required to purchase products, services, software, subscriptions, advertising, training, or equipment from ESTQ. No fee is charged by ESTQ for participation under this Agreement.

13. Confidentiality & Trade Secrets

13.1 Definition of Confidential Information

Each Party agrees to maintain in strict confidence all non-public information received from the other Party ("Confidential Information"). ESTQ Confidential Information includes, without limitation: submitted project data; lead information; customer inquiries; pricing information; market intelligence; contractor rankings; lead allocation/distribution methodologies; platform functionality; business strategies; reports; analytics; databases; algorithms; artificial intelligence systems; machine learning models; software; and financial or operational updates.

13.2 Non-Disclosure Covenants

Contractor shall not disclose, publish, distribute, copy, reproduce, sell, license, transfer, reverse engineer, or otherwise make available any Confidential Information relating to ESTQ without ESTQ's prior written consent. Contractor acknowledges that ESTQ's system assets constitute valuable trade secrets of ESTQ.

13.3 Survival of Obligations

The obligations set forth in this Section shall survive termination of this Agreement for a period of ten (10) years; provided, however, that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law. Nothing shall restrict ESTQ from using, analyzing, aggregating, or disclosing anonymized and aggregated data that does not identify Contractor.

14. Comprehensive Indemnification by Contractor

Contractor shall defend, indemnify, and hold harmless ESTQ, its officers, directors, shareholders, employees, agents, affiliates, subsidiaries, parent entities, successors, assigns, contractors, vendors, licensors, service providers, and representatives (collectively, the "ESTQ Protected Parties") from and against any and all claims, demands, actions, causes of action, investigations, proceedings, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, and expenses, including reasonable attorneys' fees, expert fees, investigation costs, and defense expenses, arising out of or relating to:

  1. Contractor's breach of this Agreement, its representations, or warranties.
  2. Contractor's services, operations, acts, omissions, negligence, gross negligence, recklessness, or misconduct.
  3. Contractor's proposals, estimates, contracts, communications, or advertisements.
  4. Customer complaints, disputes, warranty claims, property damage, personal injury, bodily injury, or death claims relating to Contractor's work.
  5. Licensing, permit, code, or insurance violations, as well as regulatory actions or government investigations.
  6. Submission of unlawful data, personal information (PII), or failure to properly anonymize data.
  7. Any governmental investigation, subpoena, regulatory inquiry, administrative proceeding, or enforcement action arising out of Contractor's conduct, submitted data, business operations, or legal non-compliance.

Contractor's obligations apply regardless of whether ESTQ is alleged to have been negligent, except to the extent a claim results solely from ESTQ's willful misconduct or fraud. ESTQ shall have the right, at its option, to participate in the defense of any claim with counsel of its choosing at Contractor's expense. This section survives termination indefinitely.

Contractor shall not settle any claim affecting ESTQ without ESTQ's prior written consent.

ESTQ may assume exclusive control of the defense and settlement of any covered claim, at Contractor's expense.

15. Limitation of Liability

MAXIMUM LIABILITY CAP: TO THE FULLEST EXTENT PERMITTED BY LAW, ESTQ'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT FOR ANY AND ALL CLAIMS SHALL NOT EXCEED ONE HUNDRED DOLLARS (US $100.00).

ESTQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST REVENUE, LOST GOODWILL, LOSS OF DATA, OR LOSS OF CUSTOMERS.

The limitations and disclaimers contained in this Agreement apply equally to ESTQ and the ESTQ Protected Parties, each of whom is an intended third-party beneficiary with the right to enforce these protections.

16. Data Retention & Survival Upon Termination

Contractor acknowledges and agrees that any data submitted to ESTQ prior to termination of this Agreement may be retained indefinitely by ESTQ. Termination of this Agreement shall not require ESTQ to delete, remove, modify, return, or cease using historical project data, aggregated data, anonymized data, statistical benchmarks, reports, pricing information, databases, artificial intelligence models, machine learning models, derivative works, or any services developed using submitted data. Contractor expressly waives any right to require deletion of data previously submitted, except to the extent such right cannot legally be waived under applicable law.

Nothing in this Agreement limits ESTQ's continuing right to use anonymized, aggregated, statistical, derivative, or machine-generated information that cannot reasonably identify Contractor.

17. Complete Warranty Disclaimer

THE ESTQ PLATFORM, LEADS, DATA, REPORTS, ESTIMATES, ANALYTICS, SOFTWARE, ALGORITHMS, DATABASES, AND RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ESTQ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, PERFORMANCE, OR RESULTS. ESTQ DOES NOT WARRANT THAT ANY LEAD WILL RESULT IN A SALE, APPOINTMENT, CONTRACT, REVENUE, OR PROFIT.

18. Non-Circumvention & Anti-Scraping Covenants

Contractor shall not directly or indirectly: copy, scrape, download, export, reproduce, reverse engineer, decompile, or attempt to recreate any ESTQ databases, pricing systems, reports, analytics, lead distribution systems, algorithms, artificial intelligence systems, machine learning models, market intelligence systems, or other proprietary technology.

Contractor shall not use bots, scripts, crawlers, automated software, APIs, browser extensions, artificial intelligence tools, or other automated methods to access, extract, monitor, or collect Platform content except as expressly authorized in writing by ESTQ.

Contractor shall not use information obtained through participation in the ESTQ platform for the purpose of developing, supporting, financing, advising, or operating a competing platform. This provision shall survive termination of this Agreement for ten (10) years; provided, however, that any obligations relating to trade secrets and confidential information shall survive for so long as such information remains confidential or qualifies as a trade secret under applicable law.

Contractor shall not use any information obtained through the Platform to train, fine-tune, evaluate, improve, or develop any artificial intelligence model, machine learning system, large language model, recommendation engine, pricing engine, or similar technology without ESTQ's prior written consent.

19. Term and Termination

  • Term: This Agreement commences upon Contractor's digital acceptance (account registration, click-acceptance, or checkbox execution) and remains in effect for one (1) year unless terminated earlier.
  • Convenience: Contractor may terminate this Agreement upon sixty (60) days written notice. ESTQ may terminate this Agreement upon thirty (30) days written notice.
  • Immediate Sanction: ESTQ may immediately suspend, restrict, or terminate Contractor's participation in the ESTQ platform for any violation of this Agreement, licensing issues, insurance lapses, data quality issues, fraud, misrepresentation, or other conduct that may adversely affect ESTQ, its users, or the platform.
  • Expiration: Unless terminated earlier, this Agreement shall automatically expire upon completion of the one (1) year term.
  • Survival: Expiration or termination of this Agreement shall not affect ESTQ's rights under Sections 4, 5, 13, 14, 15, 16, 18, 20, 21, 22, 23, 24, 25, 26, 27, and 33, all of which shall survive termination. ESTQ has no obligation to provide Lead referrals following expiration or termination.

ESTQ may suspend, restrict, or permanently terminate any Contractor account at any time, with or without notice, if ESTQ reasonably determines that continued participation may create legal, operational, reputational, cybersecurity, or business risk.

20. Governing Law

This Agreement shall be governed exclusively by, and construed in accordance with, the laws of the State of Delaware, without regard to conflict of law principles. The physical location of either Party or the nationwide nature of ESTQ's technology platform shall not affect this governing law provision.

21. Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

  • Seat of Arbitration: The exclusive seat and venue of arbitration shall be Wilmington, Delaware.
  • Costs: Each Party shall bear its own attorneys' fees and costs unless otherwise awarded by the arbitrator.
  • Limitations: The arbitrator shall have no authority to award punitive, exemplary, special, indirect, or consequential damages. The Parties consent to the jurisdiction of state and federal courts in Delaware solely for enforcing arbitration awards or obtaining temporary injunctive relief.

This arbitration provision shall survive termination or expiration of this Agreement.

22. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, CONTRACTOR AGREES THAT ANY CLAIM AGAINST ESTQ SHALL BE BROUGHT SOLELY IN CONTRACTOR'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR MASS ACTION PROCEEDING. Contractor expressly waives any right to participate in any class or representative proceeding against ESTQ.

23. Choice of Law and Waiver of Other Jurisdictions

The Parties agree that Delaware law shall exclusively govern all matters arising out of or relating to this Agreement. The Parties further agree that the laws of any other state, including any local contractor protection statutes, franchise statutes, business opportunity statutes, referral service statutes, lead generation statutes, marketplace statutes, or similar laws of any jurisdiction other than Delaware, shall not apply to the fullest extent permitted by law. Each Party knowingly and voluntarily waives any argument that the laws of another state should apply.

24. Artificial Intelligence and Model Training Waiver

Contractor acknowledges and agrees that ESTQ may use submitted data (individually or combined with third-party data) for purposes including: artificial intelligence training, machine learning training, predictive modeling, statistical analysis, pricing analysis, market intelligence, automation systems, and product development.

Contractor permanently waives any claim of ownership, compensation, royalties, licensing fees, revenue sharing, profit sharing, attribution rights, or approval rights relating to any AI system, machine learning model, algorithm, database, benchmark, estimate, report, or other intellectual property developed by ESTQ using submitted data. Contractor waives any right to inspect, audit, review, test, access, evaluate, or receive operational information regarding any AI model or algorithm developed by ESTQ.

25. Right to Modify Platform and Program

ESTQ reserves the right, at any time and in its sole discretion, to modify the ESTQ platform, lead distribution methodologies, qualification requirements, contractor participation parameters, data submission guidelines, or referral programs; add or remove platform features; or discontinue products or services. ESTQ has no obligation to maintain any particular feature, functionality, lead distribution methodology, or program structure, and may cease operation of the platform or any portion thereof at any time without liability.

ESTQ may modify, retrain, replace, suspend, discontinue, or otherwise alter any artificial intelligence models, machine learning systems, algorithms, pricing methodologies, recommendation engines, or automation processes at any time without prior notice.

26. License to Use Contractor Branding

Contractor grants ESTQ a perpetual, worldwide, transferable, sublicensable, royalty-free license to use Contractor's company name, trade names, logos, trademarks, service descriptions, project information, ratings, reviews, testimonials, success stories, public statements, and publicly available business information for platform operation, marketing, advertising, contractor directories, analytics, reports, case studies, and promotional materials. Contractor represents that it possesses all rights necessary to grant such license. This license survives expiration or termination of this Agreement with respect to materials, reports, analytics, case studies, and content created prior to the termination date.

27. Assignment, Assumption, & Future Monetization

ESTQ may assign, transfer, sell, pledge, delegate, sublicense, merge, reorganize, or otherwise transfer this Agreement, the ESTQ platform, submitted data, databases, intellectual property, and related rights without Contractor's consent. This Agreement shall be binding upon and inure to the benefit of ESTQ's successors, assigns, purchasers, acquirers, and affiliates. Contractor may not assign this Agreement without ESTQ's prior written consent.

Contractor acknowledges that ESTQ may introduce fees, subscriptions, paid participation programs, premium placements, lead fees, transaction fees, or other monetization models in the future. Nothing obligates ESTQ to continue providing free participation, free lead referrals, or free platform access.

28. Contractor Data Refresh Requirements

Contractor agrees to provide updated project data at least once every ninety (90) days and, upon ESTQ's reasonable request, additional historical or ongoing project data necessary to maintain data quality and platform accuracy. ESTQ may reduce lead allocation, suspend participation, or terminate this Agreement if Contractor fails to provide updated project data. ESTQ shall determine data sufficiency in its sole discretion.

29. Electronic Signatures and Click Acceptance

Contractor agrees that account registration, click-through acceptance, checking an "I agree" or "Submit" box, electronic acknowledgments, and digital execution shall have the same legal effect as handwritten signatures under applicable electronic signature laws (including the U.S. Federal ESIGN Act and Delaware Uniform Electronic Transactions Act).

30. Force Majeure

ESTQ shall not be liable for any delay, interruption, suspension, degradation, failure, or inability to perform any obligation under this Agreement resulting from causes beyond ESTQ's reasonable control, including but not limited to: acts of God, natural disasters, severe weather, epidemics, pandemics, war, terrorism, civil unrest, labor disputes, government actions, court orders, utility failures, power outages, internet outages, telecommunications failures, cloud service outages, hosting provider or data center failures, cyberattacks, denial-of-service (DDoS) attacks, ransomware attacks, security incidents, software/hardware failures, artificial intelligence system/machine learning model failures, API failures, third-party service interruptions, vendor failures, or supply chain disruptions.

During any such event, ESTQ may suspend, limit, delay, modify, or discontinue any aspect of the platform or Lead distribution without liability. Performance deadlines shall be extended for the duration of the Force Majeure event.

31. No Fiduciary Relationship

ESTQ owes no fiduciary duty, duty of loyalty, advisory duty, brokerage duty, or other special obligation to Contractor. The relationship between the Parties is strictly an arm's-length commercial arrangement.

32. Limitation Period

Any claim or cause of action arising out of or relating to this Agreement or the platform must be brought within one (1) year after the event giving rise to the claim occurs, or be forever barred and waived.

33. Discretion Regarding Lead Allocation & Equal Treatment

33.1 No Duty of Good Faith Regarding Lead Allocation

Contractor acknowledges and agrees that ESTQ retains absolute, unreviewable discretion regarding the collection, routing, prioritization, qualification, allocation, withholding, redistribution, assignment, and referral of Leads. ESTQ shall have no obligation to maximize Contractor's business opportunities, revenue, profitability, conversion rates, customer volume, lead volume, or business growth.

Contractor agrees that ESTQ owes no duty of good faith, fiduciary duty, advisory duty, loyalty obligation, fair dealing obligation, equal treatment obligation, or similar duty with respect to Lead allocation decisions, contractor rankings, contractor visibility, or platform participation. Contractor waives any claim arising from ESTQ's exercise of discretion regarding Leads, platform visibility, or business strategy decisions.

33.2 No Right to Equal Treatment

Contractor acknowledges that ESTQ is not required to provide equal Lead distribution, equal visibility, equal rankings, equal market coverage, equal opportunities, or equal participation to all Contractors. No course of dealing, prior Lead volume, historical participation, or ranking status shall create any expectation of or entitlement to future Leads.

34. Contractor Compliance & Legal Warranties

Contractor represents, warrants, and covenants that, throughout the term of this Agreement, Contractor shall maintain all licenses, permits, registrations, certifications, insurance coverages, and governmental approvals required to lawfully perform its services in all applicable jurisdictions. Contractor shall comply with all applicable federal, state, local, municipal, regulatory, consumer protection, privacy, advertising, employment, safety, and industry-specific laws.

Contractor shall immediately notify ESTQ in writing of any license/permit suspension, revocation, or expiration; insurance cancellation or lapse; regulatory investigation; material customer complaint; or criminal charge relating to its business. ESTQ has no obligation to verify Contractor's compliance, qualifications, licensing, or insurance status, and may suspend or terminate Contractor's participation instantly if it suspects non-compliance.

ESTQ shall not be responsible for any unauthorized access resulting from Contractor's compromised credentials, internal security failures, employee misconduct, phishing attacks, malware, or other security incidents occurring within Contractor's systems.

35. Insurance Requirements

Contractor shall maintain at all times, at its own expense, commercially reasonable general liability insurance, workers' compensation insurance where required by law, automobile insurance where applicable, and any other insurance required by applicable law to insulate its operations. Contractor shall provide proof of insurance to ESTQ immediately upon request.

36. No Contractor Verification

ESTQ does not guarantee, verify, endorse, certify, inspect, supervise, audit, monitor, or warrant the qualifications, licensing status, insurance status, work quality, safety practices, pricing, or performance of any Contractor. ESTQ operates solely as a technology, data, and referral marketplace platform.

37. No Duty to Preserve Data

ESTQ may delete, archive, modify, anonymize, aggregate, destroy, or cease maintaining any submitted data at any time and for any reason without notice and without incurring any liability to Contractor.

38. Injunctive Relief

ESTQ shall be entitled to seek temporary restraining orders, preliminary injunctions, permanent injunctions, and equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, trade secrets, databases, algorithms, and platform assets without the necessity of posting a bond.

39. No Reliance

Contractor acknowledges that it has not relied upon any representation, promise, projection, forecast, estimate, statement, expectation, marketing material, or verbal communication not expressly contained in these written Terms.

40. Release

Contractor hereby releases and forever discharges ESTQ and its officers, directors, shareholders, employees, affiliates, successors, and assigns from any and all claims, liabilities, and damages arising from: lead allocation decisions; lack of leads; lead quality; contractor rankings; platform modifications; business opportunities not received; or general participation or non-participation in the ESTQ platform.

41. No Audit Rights

Contractor shall have no right to inspect, audit, review, verify, examine, or request information regarding: lead distribution methodologies; databases; source code; algorithms; analytics; pricing models; platform operations; internal business metrics; or financial information of ESTQ.

42. Limitation on Injunctive Relief

Contractor waives any right to seek injunctive relief or any equitable remedy that would suspend, restrict, impair, disrupt, or interfere with the operation, deployment, development, or maintenance of the ESTQ platform, its databases, or its referral networks.

43. Experimental & Beta Features

ESTQ may offer beta, pilot, experimental, or artificial intelligence features. Contractor acknowledges that such features are provided for testing purposes only and may be inaccurate, incomplete, unavailable, interrupted, or modified without notice, and are used at Contractor's sole risk.

44. Customer Eligibility & Sanctions Compliance

Contractor represents and warrants that neither it, nor any of its subsidiaries, directors, officers, or beneficial owners, are subject to economic sanctions or embargoes administered by the United States Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce, or any other applicable governmental trade authority.

Contractor agrees to comply with all applicable U.S. export control and trade compliance laws with respect to its use of the Platform.

45. Integration, Severability, and Waiver

These Terms constitute the entire agreement between the Parties regarding the subject matter herein and supersede all prior or contemporaneous agreements, understandings, or communications, whether oral or written. If any provision of these Terms is found by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach or default under this Agreement shall constitute a waiver of any preceding or subsequent breach or default.

ESTQ may amend these Terms from time to time by publishing an updated version on the Platform. Continued use of the Platform following the effective date of the revised Terms constitutes Contractor's acceptance of the updated Terms.

The headings in this Agreement are for convenience only and shall not affect interpretation.

46. No Responsibility for Contractor Services & Customer Relationships

  • Independent Ecosystem: ESTQ is not a party to any agreement, estimate, proposal, invoice, warranty, or business arrangement between Contractor and any customer. Contractor is solely responsible for its proposals, estimates, contracts, warranties, work performance, structural execution, collections, payment arrangements, and customer communications.
  • Platform Role Only: ESTQ operates solely as a technology platform, data platform, referral platform, and marketplace. ESTQ does not perform, supervise, inspect, manage, direct, control, guarantee, certify, endorse, warrant, or assume responsibility for any services performed by Contractor. ESTQ is not a contractor, subcontractor, service provider, construction manager, project manager, employer, supervisor, inspector, consultant, engineer, architect, guarantor, or agent of Contractor. Any agreement for services, estimate, proposal, contract, warranty, invoice, payment arrangement, or other business relationship is executed solely and exclusively between Contractor and its customer.
