IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THIS SITE. 1. Changes and Site Modifications

ESTQ does not supervise, inspect, certify, guarantee, or control the quality, safety, legality, timeliness, licensing status, insurance coverage, or performance of any independent Contractor.

All construction or repair services are executed entirely by independent, third-party licensed Contractors matched through our system. You are under a continuous duty to verify the active licensing, bonding, and insurance status of any specific matched contractor directly with your state's licensing board (such as the California CSLB at 1-800-321-CSLB) before signing a physical work contract.

4.2 Online Estimates and Quotes Are Completely Non-Binding

Any pricing charts, cost calculators, diagnostic ranges, mathematical project estimators, or quotes generated or provided through the Site are for informational, educational, and reference purposes only.

They do not constitute a binding financial offer, contract, or final flat-rate price. Actual service pricing is subject to an in-person assessment of your specific home, system, and property conditions by the matched technician. ESTQ is not responsible for any price discrepancies between the website calculator and the actual contractor's invoice.

4.3 No Emergency Dispatch Services Through the Site

This Site and its web contact forms are not monitored 24/7 for life-safety or property emergencies. For urgent disasters (such as a fire, gas leak, flooding, or complete loss of heat in freezing weather), do not rely on estq.io. You must contact your local emergency services or your local public utility provider immediately.

4.4 No Professional Engineering Advice

Media content, equipment specifications, energy efficiency metrics, or rebate guides displayed on this Site are provided as generalized informational content. They do not constitute professional mechanical, electrical, structural, or environmental engineering advice. You should consult a licensed engineer or certified field specialist before making major machinery or structural modifications to your home.

5. Contact Forms and Request Submissions

You may submit service inquiries, repair requests, or system profiles through automated forms on the Site (each, a "Contact Submission"). You are solely responsible for the accuracy of your Contact Submissions and agree not to input fraudulent, false, or stolen identity parameters.

By submitting a form, you acknowledge that ESTQ will share your submitted contact and project data with independent matched Contractors or tech vendors necessary to fulfill your request for an estimate. By submitting a Contact Submission, you expressly authorize ESTQ to transmit your submitted information to one or more matched Contractors and service providers reasonably necessary to process your request.

6. Prohibited Activities

You are authorized to utilize the Site strictly for Permitted Consumer Purposes. You are strictly prohibited from performing any of the following unauthorized activities:

• Using automated scripts, scraping mechanisms, data mining tools, extraction bots, or spiders to harvest data, text, layout designs, or pricing metrics from the Site.
• Modifying, copying, reverse engineering, or creating derivative works of the Site's interface, source code, or algorithms.
• Using the Site to stalk, harass, defame, or harm another individual or business.
• Submitting fraudulent project specifications, creating fake accounts, or posting synthetic, fake, or coordinated reviews or ratings.
• Attempting to breach, test, bypass, or circumvent any security Firewalls, access controls, or network infrastructure nodes connected to the Site.
• Using any information obtained through the Site to train, fine-tune, evaluate, improve, or develop artificial intelligence systems, machine learning models, large language models, or similar technologies without ESTQ's prior written consent.

7. Intellectual Property Rights

All Materials, code blocks, site architectural layouts, imagery, and database systems are the sole property of ESTQ Inc. and are protected by United States and international copyright, trademark, and trade secret laws.

The corporate trademarks, brand names, and stylized logos displayed across the Site are the exclusive property of ESTQ Inc. ("Our Trademarks"). Any other product or manufacturer logos displayed on the Site are the property of their respective owners.

Nothing contained on the Site grants any license or other right to use ESTQ's trademarks, copyrights, trade dress, proprietary databases, artificial intelligence models, or other intellectual property except as expressly provided in these Terms.

8. Consumer Indemnification Obligations

You agree to defend, indemnify, and hold harmless ESTQ Inc., its officers, employees, directors, and operational agents from and against any and all losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your misuse of the Site; (b) your violation of these written Terms; (c) any fraudulent data injected via your Contact Submissions; or (d) your violation of the rights of any third party.

You may not settle any claim affecting ESTQ without ESTQ's prior written consent if your actions could impose any obligation or liability upon ESTQ. ESTQ may assume exclusive control of the defense and settlement of any covered claim at your expense.

9. Warranty Disclaimers

THE SITE AND ALL ACCESSIBLE MATERIALS ARE PROVIDED ENTIRELY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. ESTQ does not warrant that the Site will operate without interruption, error, malware, cyberattacks, or unauthorized access. ESTQ does not warrant that any defects or errors will be corrected or that the Site will always be available.

10. Comprehensive Limitation of Liability

ESTQ INC. AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, DATA CORRUPTION, OR PROPERTY DAMAGE—ARISING FROM OR CONNECTED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE LEGAL THEORY ASSERTED (CONTRACT, TORT, STRICT LIABILITY).

COMPANY'S TOTAL ACCUMULATED AND AGGREGATE LIABILITY FOR ALL CLAIMS OF ANY NATURE ARISING DIRECTLY FROM YOUR ACCESS OR INTERACTION WITH THIS SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS (US $100.00).

The foregoing limitations of liability shall apply to the fullest extent permitted by applicable law regardless of the legal theory asserted.

11. Dispute Resolution and Arbitration; Class Action Waiver

11.1 Mandatory Agreement to Arbitrate

This section is deemed to be a "written agreement to arbitrate" pursuant to the Federal Arbitration Act ("FAA"). YOU AND ESTQ EACH AGREE THAT ANY AND ALL DISPUTES RELATING IN ANY WAY TO THE SITE OR THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL, BINDING, AND CONFIDENTIAL INDIVIDUAL ARBITRATION. YOU ARE KNOWINGLY GIVING UP THE RIGHT TO LITIGATE A DISPUTE IN COURT BEFORE A JUDGE OR JURY.

11.2 Pre-Arbitration Dispute Resolution Procedures

Before filing for arbitration, you and Company agree to first attempt to resolve the issue informally. You must send a written description of your grievance (a "Demand") to: ESTQ Inc., Attn: Legal Dept, 2222 Ronald Street, Santa Clara, California 95050 USA.

The Demand must identify your full name, phone number, account email, and the exact relief sought. Within twenty (20) business days of receipt, the parties will engage in a telephone or video conference to attempt in good faith to resolve the Dispute. No formal arbitration request may be submitted until after this process is completed.

11.3 Arbitration Rules, Forum, and Fee Limits

If unresolved informally, the legal action must be submitted exclusively to American Arbitration Association (AAA) for final and confidential individual consumer arbitration under AAA's Comprehensive Rules & Procedures. The arbitration venue shall be located in Wilmington, Delaware or a mutually agreed location. The arbitrator will decide all claims in accordance with the laws of the State of Delaware.

11.4 Class Action and Mass Arbitration Waiver

YOU AND ESTQ AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS COMPLAINANT, OR ACCUMULATED CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE COMPLAINT, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL LEGAL PROCEEDING.

This arbitration agreement shall survive termination of these Terms and your use of the Site. If any portion of this arbitration provision is found unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
